The undersigned, a SIP Member (hereinafter, "Member"), hereby applies to participate in the SIPA "Member Program" (the "Program"). In consideration of and as a condition of participation, Member hereby warrants and agrees to hold harmless and indemnify the SIPA, its officers, directors, employees, and representatives from any and all claims, demands, actions, causes of action, judgments, liabilities, losses and/or damages, including reasonable attorneys fees and costs (collectively referred to as "claims"), arising out of or relating to Member's participation in the Program, including, but not limited to, any claims relating to the quality or performance of structural insulated panels supplied and/or the quality of work performed.

Member understands that SIPA does not endorse the products or services of any of the companies listed in the Program. Member warrants and agrees not to make any claim or representation that SIPA has endorsed or warranted any products or services.

Member also understands and agrees that through participation in the Program, Member may be provided with access to consumer contact or "lead" information compiled by the SIPA in response to consumer inquiries about structural insulated panels, builders and material suppliers. In consideration of being provided access to such consumer lead information, Member warrants and agrees not to sell, transfer, exchange, distribute or otherwise make available to any third party any of the consumer lead information made available to Member under the Program. Member understands and agrees that in the event of any breach of this warranty, Member's membership in SIPA will be subject to immediate termination, all dues paid to SIPA shall be forfeited, and Members may be subject to an action for injunctive relief and/or damages (including SIPA's reasonable attorneys fees and costs) for misuse of the information.

The warranties, indemnification and hold harmless provisions of this agreement shall survive Member's participation in the program and/or membership in SIPA.
